THESE TERMS AND CONDITIONS GOVERN YOUR USE OF THIS CAMPAIGN AND PARTICIPATION IN THIS ACTIVITY (QUIDAX AND FLUTTERWAVE), WHICH IS PROVIDED BY QUIDAX, FLUTTERWAVE AND THEIR AGENTS. BY USING THIS PLATFORM/FORUM AND PARTICIPATING IN THIS ACTIVITY YOU ARE INDICATING YOUR ACKNOWLEDGEMENT AND ACCEPTANCE OF THESE TERMS AND CONDITIONS. THESE TERMS AND CONDITIONS ARE SUBJECT TO CHANGE BY QUIDAX, FLUTTERWAVE AND THEIR AGENTS AT ANY TIME AT ITS SOLE DISCRETION. YOUR USE OF THIS PLATFORM/FORUM AND PARTICIPATION IN THIS ACTIVITY AFTER SUCH CHANGES ARE IMPLEMENTED CONSTITUTE YOUR ACKNOWLEDGEMENT AND ACCEPTANCE OF THE CHANGES. THESE TERMS AND CONDITIONS APPLY TO ALL METHODS OF PARTICIPATION AND COMMUNICATION INCLUDING BUT NOT LIMITED TO FORUMS, SOCIAL MEDIA POSTS, PRIVATE MESSAGES, EMAILS ETC.

1.      ACCEPTANCE

You agree that you shall be bound by and comply with these Terms and Conditions for entry to the Activity. By entering into the Campaign by signing up, you agree to comply with these Terms and Conditions. That in the event that you fail to comply with these Terms and Conditions of entry for any reason that your entry shall not be eligible and shall be disqualified from the Activity.

2.      INFORMATION ON THE ACTIVITY

The activity runs from 14th March, 2019 and ends at Noon on 15th April, 2019. Here is how to participate:

2. Verify your email and identity
3. Fund your Quidax wallet by selecting ‘Card payment’, fill the details in the dropdown and select pay
4. In the prompt change your payment method to ‘Pay with Barter’
5. Enter the phone number associated with your GetBarter account and click on ‘Pay’
6. Once the payment goes through you will receive 2,000 naira in your Quidax naira wallet.

This activity starts on the 14th March, 2019 and ends at noon (GMT+ 1) on the 15th April, 2019, but is subject to change. Quidax reserves the right to end this activity before the set end date. This activity is open to both new and existing users of GetBarter. Only new users of Quidax who signed up from the 14th March 2019 and use ‘pay with barter’ for their first deposit are eligible for this promo. Quidax is only liable to reward participants in this activity once, although participants can fund their Quidax wallet multiple times.

In order to be able to enter the Activity and to be eligible to comply with these Terms and Conditions, it is a condition that you are 18 years of age and above.

Quidax, Flutterwave and their Agents shall be entitled at its sole discretion to declare that any entry is not to be entered for the activity and is disqualified. In such event Quidax, Flutterwave and their Agents shall not be obliged to inform you of your disqualification nor shall it be obliged to provide a reason for its decision.

All decisions of Quidax, Flutterwave and their Agents shall be final and Quidax, Flutterwave and their Agents shall not enter into any correspondence, dialogue and/or otherwise with you regarding any aspect of the Activity.

4.      ACCESS TO THIS PLATFORM/FORUM AND PARTICIPATION IN THE ACTIVITY

To access this Platform/Forum and Participate in this Activity, you will be required to provide certain KYC details or other information to enable you withdraw from the platform. It is a condition of your use of this Platform/Forum and Participation in the Activity that all the information you provide on this Platform/Forum for Participation in this Activity will be correct, current and complete. If Quidax, Flutterwave and their Agents believes the information you provide is not correct, current or complete Quidax, Flutterwave and their Agents has the right to refuse you access to this Platform/Forum and to Participate in this Activity, and to terminate or suspend your access at any time.

5.      RESTRICTIONS ON USE

You may use this Platform/Forum and Participate in this Activity for purposes expressly permitted by this Platform/Forum and in participation in this Activity. As a condition of your use of this Platform/Forum and Participation in this Activity, you warrant to Quidax, Flutterwave and their Agents that you will not use the Platform/Forum and Participate in this Activity for any purpose that is unlawful or prohibited by these terms and conditions. You may not modify, copy, distribute, display, send, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, content, software, products or services obtained from or otherwise connected to this platform/forum/Activity/contest. You will also be required to trade buy and sell cryptocurrency on the Quidax with the income from the campaign before you are able to withdraw the funds.

6.      PROPRIETARY INFORMATION

The material and content accessible from this Platform/Forum and any other World Wide Web site, platform, forum, contest or Activity owned, operated, licensed or controlled by Quidax, Flutterwave and their Agents is the proprietary information of Quidax, Flutterwave and their Agents or the party that provided or licensed the Content to Quidax, Flutterwave and their Agents, whereby such providing party retains all right, title and interest in the Content. Accordingly, the Content may not be copied, distributed, republished, uploaded, posted or transmitted in any way without the prior written consent of Quidax, Flutterwave and their Agents. You hereby grant to Quidax, Flutterwave and their Agents the royalty free, perpetual, irrevocable, worldwide, non- exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display all content, remarks suggestions, ideas, graphics, or other information communicated to Quidax, Flutterwave and their Agents through this Platform/Forum and in Participation in this Activity (together, the “Submission”), and to incorporate any Submission in other works in any form, media, or technology now known or later developed. Quidax, Flutterwave and their Agents will not be required to treat any Submission as confidential, and may use any Submission in its business (including without limitation, for products or advertising) without incurring any liability for royalties or any other consideration of any kind, and will not incur any liability as a result of any similarities that may appear in future Quidax, Flutterwave and their Agents operations.

9.      INFORMATION YOU PROVIDE

You may not post, send, submit, publish or transmit in connection with this Platform/Forum and  in Participation in this Activity any material that:

1. You do not have the right to post, including proprietary material of any third party
2. Advocates illegal activity or discusses an intent to commit an illegal act;
3. Is vulgar, obscene, pornographic or indecent
4. Does not pertain directly to this Platform/Forum and your Participation in this Activity;
5. Threatens or abuses others, libels, defames, invades privacy, stalks, is obscene, pornographic, racist, abusive, harassing, threatening or offensive
6. Seeks to exploit or harm children by exposing them to inappropriate content, asking for personally identifiable details or otherwise;
7. Infringes any intellectual property or other right of any entity or person, including violating anyone’s copyright or trademarks or their rights of publicity;
8. Violates any law or may be considered to violate any law;

Quidax, Flutterwave and their Agents reserves the right to monitor use of this Platform/Forum to determine compliance with these Terms and Conditions, as well as the right to remove or refuse any information for any reason. Notwithstanding these rights, you remain solely responsible for the content of your submissions. You acknowledge and agree that neither Quidax, Flutterwave and their Agents nor any third party that provides Content to Quidax, Flutterwave and their Agents will assume or have any liability for any action or inaction by Quidax, Flutterwave and their Agents or such third party with respect to any submission.

AGENTS, OFFICERS AND DIRECTORS WILL NOT BE LIABLE FOR ANY INCIDENTAL, DIRECT, INDIRECT, PUNITIVE, ACTUAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR OTHER DAMAGES INCLUDING LOSS OF REVENUE OR INCOME, PAIN AND SUFFERING, EMOTIONAL DISTRESS OR SIMILAR DAMAGES, EVEN IF QUIDAX, FLUTTERWAVE AND THEIR AGENTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Quidax, Flutterwave and their Agents and its affiliates are not responsible for lost, interrupted, or unavailable network, server, or other connections; miscommunication; failed phone or computer hardware, software, telephone transmissions, or technical failures; garbled or jumbled transmissions or other errors of any kind, whether human, mechanical, or electronic, including without limitation the incorrect or inaccurate capture of your entry in this Activity; or for lost, late, incomplete, damaged, destroyed, delayed, stolen, misdirected, or illegible entry.

You warrant that you have not entered any agreements (including but not limited to agreements with employers) that would prohibit you from entering into the Activity or granting any of the rights granted herein.

14.  INDEMNITY

You will indemnify and hold Quidax, Flutterwave and their Agents, its subsidiaries, affiliates, licensors, content providers, service providers, employees, agents, officers, directors, and contractors (the Indemnified Parties) harmless from any breach of these Terms and Conditions by you, including any use of Content other than as expressly authorized in these Terms and Conditions . You agree that the Indemnified Parties will have no liability in connection with any such breach or unauthorised use, and you agree to indemnify any and all resulting loss, damages, judgments awards, costs, expenses and attorneys’ fees of the Indemnified Parties in connection therewith. You will also indemnify and hold the Indemnified Parties harmless from and against any claims brought by third parties arising out of your use of [Quidax, Flutterwave and their Agents’]’s Platform/Forum and in Participation in this Activity or information accessed from the Platform/Forum and  in Participation in this Activity.

15.  TRADEMARKS

Trademarks, service marks, and logos appearing in this Platform/Forum are the property of Quidax, Flutterwave and their Agents or the party that provided the trademark, service marks and logos to Quidax, Flutterwave and their Agents. Quidax, Flutterwave and their Agents and any party that provided trademarks, service marks and logos to Quidax, Flutterwave and their Agents retain all rights with respect to any of their respective trademarks, service marks and logos appearing in this Platform/Forum.

16.  SECURITY

You are prohibited from using any services or facilities provided in connection with this Platform/Forum and your Participation in this Activity to compromise security or tamper with system resources and/or accounts. The use or distribution of tools designed for compromising security (e.g. password guessing programs, cracking tools, or network probing tools) is strictly prohibited. If you become involved in any violation of system security, Quidax, Flutterwave and their Agents reserves the right to release your details to system administrators at other sites in order to assist them in resolving security incidents. Quidax, Flutterwave and their Agents reserves the right to investigate suspected violations of these Terms and Conditions.

Quidax, Flutterwave and their Agents reserves the right to fully cooperate with any law enforcement authorities or court order requesting or directing Quidax, Flutterwave and their Agents to disclose the identity of anyone posting any e-mail messages, or publishing or otherwise making available any materials that are believed to violate these Terms of Use.

BY ACCEPTING THESE  TERMS AND CONDITIONS AGREEMENT YOU WAIVE AND HOLD HARMLESS QUIDAX, FLUTTERWAVE AND THEIR AGENTS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY QUIDAX, FLUTTERWAVE AND THEIR AGENTS DURING OR AS A RESULT OF ITS INVESTIGATIONS AND/OR FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER QUIDAX, FLUTTERWAVE AND THEIR AGENTS OR LAW ENFORCEMENT AUTHORITIES.

17.  PROTECTION OF MINORS

Children under the age of 18 (Eighteen) are not permitted to register or use this Platform or Forum and Participate in this Activity.

18.  MISCELLANEOUS

These Terms and Conditions will be governed and interpreted pursuant to the laws of the Federal Republic of Nigeria, notwithstanding any principles of conflicts of law. You specifically consent to the jurisdiction of Federal Republic of Nigeria in connection with any dispute between you and Quidax, Flutterwave and their Agents arising out of these Terms and Conditions or pertaining to the subject matter hereof. If any part of these Terms and Conditions is unlawful, void or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of any remaining provisions. These Terms and Conditions and any supplemental terms, policies, rules and guidelines constitute the entire agreement between you and Quidax, Flutterwave and their Agents and supersede all previous written and or oral agreements relating to your entry and participation in the Activity. Notwithstanding the foregoing, any additional terms and conditions on this Platform/Forum will govern the items to which they pertain.
